to be seller financed. You're going to roll 20%, which is 20 million. So there's $30 million left. Uh, and so we'll give you $30 million in cash. Uh, and you say, Oh, I sold my company for a hundred million. Right. And then of the 30, you've got the bonuses and you've got other equity, you know, partners, if you have those, and then you've got the tax man. So all of a sudden, let's say you've got 20% that's given to your team. So now you're at 24 million and then tax man takes his 30. Right. Uh, and you've got closing fees and things like that and escrow fees. Uh, and so now you're at, uh…

Well, here's, here's an interesting one for you. Say you have a hundred million dollars sale, right? Everyone talks about it. It's so amazing. Well, most of the times it's not a hundred million dollars, right? What it is, is they'll probably give you, you know, 60 million upfront, and then you'll have a $10 million seller note that you finance for five years. And then you'll have a, you'll have an earn out, right? For another 20 million that if you hit X, Y, and Z over the next year or two, right? Or earn outs can be as long as they want. Right. And you're going to roll another 10% in equity…

So now we've got 60 million. Well, you probably have some bonuses that you want to give to your staff. You're going to have a broker that you'll probably have to pay three or 4% to. So let's, let's do it. So 4% of 60. Now we're down to 57, right? And I'll just wrap in some of the bonuses on top of that. Depending on how your, your equity structure, your a hundred percent, whatever, then you have your capital gains tax. You have an escrow fee. So capital gains for us in the States, at least is 20. So now we have 20% off of the, you know, let's say 55 after the escrow, that would be actually at…
